Welcome to Index Hosting Limited (“Index Hosting,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, indexhosting.net (the “Website”), and all services we provide, including but not limited to web hosting, web development, software development, CRM/ERP systems, mobile applications, brand identity design, and bulk SMS/WhatsApp solutions (collectively, the “Services”).

By accessing or using our Website or Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our Website and Services immediately.

1. Acceptance of Terms

 

By using our Website or Services, you confirm that you are at least 18 years old or have the legal authority to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Our Services

 

Index Hosting Limited provides professional digital solutions, including:

  • Web Hosting – Hosting for websites, blogs, and e-commerce platforms.
  • Web Development & Design – Custom websites and user interface design.
  • Software Development – Tailored software solutions.
  • CRM/ERP Systems – Enterprise applications for business automation.
  • Mobile Applications – iOS, Android, and cross-platform mobile apps.
  • Brand Identity Design – Branding and visual identity services.
  • Bulk SMS & WhatsApp – Messaging platforms for customer communication.

All Services are subject to these Terms and any additional service agreements or signed order forms.

3. Web Hosting Services

 

3.1 Service Agreement
By purchasing or using our hosting services, you agree to the following:

  • Service Availability: We aim to maintain 99.9% uptime, excluding planned maintenance or unforeseen technical issues beyond our control (e.g., DDoS attacks, internet outages).
  • Resource Usage: Accounts must comply with fair usage policies. Excessive consumption of resources (CPU, memory, bandwidth) that affects other customers may result in suspension or throttling.
  • Content Restrictions: Hosting accounts may not store or distribute illegal, infringing, defamatory, obscene, or otherwise prohibited content. We reserve the right to remove such content without notice.
  • Backups: While we perform routine backups, you are responsible for maintaining your own copies of data. Index Hosting is not liable for data loss caused by hardware failure, user error, or third-party issues.
  • Domain Names: If we register a domain for you, you are responsible for renewals, DNS management, and compliance with registrar policies.


3.2 Account Management

  • Security: You are responsible for securing your account credentials. We are not liable for unauthorized access resulting from your negligence.
  • Support: We provide 24/7 support for infrastructure-related hosting issues. Support for custom code or third-party tools is excluded unless otherwise agreed.

3.3 Termination of Hosting
We may suspend or terminate your hosting services if you:

  • Fail to make timely payments.
  • Violate these Terms or engage in prohibited activities.
  • Cause disruption or damage to our infrastructure.

Upon termination, data may be deleted after 30 days unless otherwise agreed in writing.

4. Payment & Fees

 

  • Payment Terms: Fees are payable in advance according to your billing cycle (monthly, annually, or as agreed). Services may be suspended for late or missed payments.
  • Refunds: Hosting services are non-refundable. Development services (web, software, apps, or branding) are non-refundable once work has commenced.
  • Taxes: Fees exclude applicable taxes. Clients are responsible for any tax obligations unless exempt under Ugandan law.

5. User Responsibilities

 

You agree not to:

  • Use our Services for unlawful purposes or in violation of applicable Ugandan or international laws.
  • Engage in hacking, malware distribution, or system disruption.
  • Use our Services for spam, phishing, or other malicious activities.
  • Misrepresent your identity or impersonate another person or entity.

Violations may result in suspension or termination of your Services without notice.

6. Intellectual Property

 

  • Our Content: All content on our Website, including text, designs, logos, and graphics, is owned by Index Hosting Limited or our licensors and protected by copyright and trademark laws.
  • Your Content: You retain ownership of content you upload or provide. By using our Services, you grant us a limited, non-exclusive license to use, store, and process your content solely for the purpose of delivering Services.
  • Custom Work: Ownership of deliverables from custom projects (websites, software, apps) transfers to you upon full payment unless otherwise stated in the agreement.

7. Confidentiality

We treat all client data and business information as confidential and will not disclose it to third parties except where required to deliver Services or comply with legal obligations.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our Services are provided “as is” without warranties, express or implied.
  • We are not liable for indirect or consequential damages (e.g., lost profits, data loss, business interruptions).
  • Our total liability for any claim shall not exceed the amount you paid for Services in the previous 12 months.

9. Indemnification

You agree to indemnify and hold harmless Index Hosting Limited, its officers, and employees from any claims, damages, or expenses arising from:

  • Your use of our Services.
  • Your violation of these Terms.
  • Content you host, share, or distribute through our Services.

10. Termination

 

  • By You: You may terminate Services by providing written notice as outlined in your agreement.
  • By Us: We may suspend or terminate Services for non-payment, violations of these Terms, or legal requirements.
  • Effect of Termination: Upon termination, you must discontinue use of our Services, and any outstanding balances remain due.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Uganda. Disputes shall first be addressed through negotiation. If unresolved, they will be settled in the courts of Kampala, Uganda.

12. Updates to These Terms

We may revise these Terms periodically. Significant updates will be communicated via email or posted on our Website. Continued use of our Services after changes indicates your acceptance of the updated Terms.
